1. Introduction

These Terms and Conditions (“Terms”) govern your use of the Global Remote Solutions Ltd (“GRS,” “we,” “our,” or “us”) website (globalremotesolutions.com) and the provision of our remote staffing, out-of-hours support, and Recruitment Process Outsourcing (RPO) services. By accessing our website or engaging our services, you (“the Client” or “User”) agree to be bound by these Terms.

2. Definitions

  • “Client” refers to any business, entity, or individual engaging GRS for remote staffing or RPO services.
  • “Candidate” or “Remote Professional” refers to the individual sourced, vetted, and deployed by GRS to the Client.
  • “Services” refers to the talent sourcing, administrative support, compliance vetting, and remote staffing deployment provided by GRS.

3. Use of the Website

You agree to use this website only for lawful purposes. You must not use our website in any way that breaches any applicable local, national, or international law or regulation, or to transmit any unsolicited promotional material (spam).

4. Client Obligations

To ensure seamless deployment of remote professionals, the Client agrees to:

  • Provide accurate, complete, and timely information regarding the required role, duties, and software systems.
  • Provide the Remote Professional with necessary access to systems, CRMs, or portals required to execute their daily tasks.
  • Ensure that any tasks assigned to the Remote Professional comply with all applicable UK and international laws.

5. Fees, Invoicing, and Payment

  • Service Fees: Our staffing and RPO fees will be explicitly detailed in the bespoke Service Level Agreement (SLA) or contract provided to the Client before the commencement of Services.
  • Payment Terms: Unless otherwise agreed in writing, all invoices must be paid within the timeline specified on the invoice.
  • No Candidate Fees: GRS does not charge Candidates any fees for applying, interviewing, or being placed in a role.

6. Non-Solicitation (Protection of Talent)

The Client acknowledges that GRS invests significant time and resources into sourcing and vetting top-tier talent. Therefore, during the term of our service agreement and for a period of twelve (12) months following its termination, the Client agrees not to directly or indirectly solicit, employ, or engage any Remote Professional introduced by GRS outside of the GRS payment structure, unless a formal “Direct Hire Buyout Fee” has been agreed upon in writing.

7. Confidentiality & Data Protection

Both GRS and the Client agree to hold all proprietary and sensitive information in strict confidence. GRS adheres entirely to the UK General Data Protection Regulation (UK GDPR). For detailed information on how we handle personal data, please review our Privacy Policy.

8. Limitation of Liability

While GRS rigorously vets all Candidates (including reference checks and skills assessments), the Client remains ultimately responsible for the daily management, task assignment, and operational oversight of the Remote Professional. GRS shall not be liable for any indirect, incidental, or consequential damages, loss of profits, or business interruptions arising from the performance or actions of the Remote Professional.

9. Termination of Services

Either party may terminate the staffing agreement by providing written notice as specified in the Client’s specific Service Level Agreement (SLA). GRS reserves the right to immediately suspend or terminate Services if the Client breaches any material term of these Conditions, including failure to pay invoices.

10. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
